Agreement to These Terms
Welcome to Selnotes. These Terms of Service ("Terms") form a binding legal agreement between you and Selnotes Technologies L.L.C. ("Selnotes", "we", "us", or "our") and govern your access to and use of the Selnotes website, applications, and related services (together, the "Service").
By creating an account, accessing the Service, or using any part of the platform, you confirm that you have read, understood, and agreed to be bound by these Terms. If you don't agree with them, please don't use the Service.
These Terms cover your general use of the platform. They sit alongside our other policies, which form part of your agreement with us: our Terms & Conditions (which govern buying, selling, refunds, commission, and payouts), our Privacy Policy, and our Copyright & Intellectual Property Policy. Where a topic is covered in more specific detail in one of those documents, that document applies to that topic.
Definitions
To keep these Terms clear, a few words are used in a specific way throughout:
- "Service" — the Selnotes platform, including the website, storefront, dashboards, messaging, and any related features or tools we provide.
- "User", "you" — any person who accesses or uses the Service, whether as a buyer, a seller, or a visitor.
- "Seller" — a user who lists or sells digital products through the Service.
- "Buyer" — a user who purchases or downloads a product through the Service.
- "Content" — anything posted, uploaded, listed, or transmitted through the Service, including products, listings, descriptions, images, reviews, and messages.
- "Your Content" — Content that you submit, upload, or make available through the Service.
The Service
Selnotes is an online marketplace that connects independent creators and educators with people who want to buy digital study materials, templates, and similar products. We provide the platform — the storefront, account tools, checkout, delivery, and seller dashboard — but we do not create or own the products listed by sellers.
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose, subject to these Terms. This licence does not give you any right to copy, resell, or commercially exploit the Service itself, or to use it in any way other than as we intend.
The Service is intended for your own legitimate use. You may not use it on behalf of a third party in a way that breaches these Terms, and you may not resell, rent, or otherwise make the Service available to others as if it were your own.
Your Account
To use most features of the Service, you'll need an account. You must be at least 16 years old to register; if you're under 18, you confirm that you have permission from a parent or legal guardian.
Accurate information
When you register, you agree to provide accurate, current, and complete information, and to keep it up to date. Registering with false information, or impersonating another person or entity, is a breach of these Terms.
Keeping your account secure
You are responsible for keeping your login credentials confidential and for all activity that happens under your account, whether or not you authorised it. If you believe your account has been accessed without your permission, let us know straight away through our contact page.
One account per person
Each person may hold a single account. Creating multiple accounts to evade restrictions, abuse promotions, or circumvent a suspension is a material breach of these Terms and may result in the closure of all related accounts.
Acceptable Use
We want Selnotes to be a safe, trustworthy place for everyone. When you use the Service, you agree that you will not:
- Use the Service for any unlawful purpose, or in violation of any applicable law or regulation.
- Post, list, or transmit Content that infringes the intellectual property, privacy, or other rights of any third party.
- Upload or distribute material that is fraudulent, deceptive, defamatory, harassing, hateful, or otherwise harmful.
- Misrepresent a product, post misleading previews, or make false claims about what a buyer will receive.
- Attempt to gain unauthorised access to the Service, other users' accounts, or any system or network connected to the Service.
- Interfere with or disrupt the Service — for example, by introducing malicious code, overloading our systems, or probing or testing the vulnerability of any system without authorisation.
- Use automated means (bots, scrapers, crawlers) to access, copy, or collect data from the Service without our prior written permission.
- Manipulate the platform — including artificial reviews, fake engagement, self-purchasing, or any coordinated inauthentic behaviour designed to inflate metrics or mislead others.
- Harass, threaten, or abuse other users through messaging or any other feature, or send unsolicited bulk or spam communications.
- Circumvent, disable, or otherwise interfere with security-related features of the Service, or any limits we place on use.
- Resell, redistribute, or sublicense products you purchase, except where the seller has expressly granted you the right to do so.
Prohibited categories and content
Some categories are never allowed on Selnotes, whatever the format. You must not sell, promote, or provide instructions for firearms, weapons, explosives, or files used to manufacture them; illegal drugs or controlled substances; malware, hacking tools, or stolen data; or content that promotes violence, terrorism, or self-harm.
Selnotes is not a platform for adult or sexually explicit content, and such material is not permitted. Content that sexualizes, exploits, or endangers a minor is absolutely prohibited: we report suspected child sexual abuse material (CSAM) to the relevant authorities, including the National Center for Missing & Exploited Children (NCMEC), and permanently ban the accounts involved.
AI-generated content
Products made with the help of AI are allowed, but where AI generated a material part of a product you must clearly disclose this in the listing. You remain fully responsible for anything you sell — including that it does not infringe third-party rights, is not misleading, and is more than raw, unedited AI output passed off as original work.
Automated moderation and image scanning
We use automated systems — including third-party image moderation and CSAM-detection technology provided by our image host — to review uploaded images and Content. These systems may flag, block, or remove Content automatically and escalate matches to our team or to law enforcement where required. By uploading Content, you consent to this automated scanning.
We may investigate and take appropriate action against anyone who, in our reasonable judgement, breaches this section — including removing Content, restricting features, suspending or closing accounts, and reporting conduct to the relevant authorities where the law requires it.
Your Content & License to Us
You retain ownership of the Content you create and submit to the Service. We don't claim ownership of your products, listings, reviews, or messages.
To run the Service, however, we need your permission to handle your Content. By submitting Content, you grant Selnotes a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, and distribute that Content solely for the purpose of operating, promoting, and improving the Service. For products, this allows us to show your listings, deliver files to buyers, and feature your work in our marketing. This licence ends when you remove the Content from the platform, except where the law requires us to retain a copy or where it has already been delivered to a buyer under a valid purchase.
You are solely responsible for Your Content and you represent that you have all the rights necessary to submit it and to grant the licence above. You must not submit Content you do not have the right to share.
We do not pre-screen all Content, but we may review, moderate, or remove any Content that we reasonably believe breaches these Terms or any of our policies. Removing Content does not always mean we've reviewed everything else, and leaving Content up does not mean we endorse it.
Third-Party Services & Links
The Service relies on certain trusted third-party providers — for example, to process payments and to deliver email. When you use features powered by these providers, your use may also be subject to their own terms and privacy policies. We choose our providers carefully, but we are not responsible for their services, and their terms are between you and them.
The Service may also contain links to third-party websites or resources that we do not control. We provide these links for convenience only, and including a link does not mean we endorse the linked site. We are not responsible for the content, products, or practices of any third-party site, and you access them at your own risk.
Service Availability & Changes
We work hard to keep Selnotes available and running smoothly, but we provide the Service on an "as available" basis. We can't guarantee that the Service will be uninterrupted, error-free, or available at all times. Access may be affected by maintenance, updates, technical issues, or events outside our reasonable control.
We may add, change, suspend, or remove features of the Service at any time. Where a change materially affects how you use the platform — particularly for sellers who rely on it — we'll aim to give reasonable advance notice, though we can't always guarantee this. We won't be liable to you for any modification, suspension, or discontinuation of the Service, except where the law provides otherwise.
Suspension & Termination
You may stop using the Service and close your account at any time. If you're a seller, we recommend withdrawing any available balance before closing your account, in line with our Terms & Conditions.
We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe that you have breached these Terms or any of our policies, that your use poses a risk to other users or to the platform, or that we are required to do so by law. Where it's appropriate and lawful to do so, we'll give you notice and an opportunity to put things right; in cases of serious or repeated breach, fraud, or legal risk, we may act immediately.
When your account is terminated, your right to use the Service ends. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.
Disclaimers
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.
Selnotes is a marketplace for products created and sold by independent third-party sellers. We do not create, own, or endorse those products, and we make no warranty as to their quality, accuracy, legality, or fitness for any particular purpose. Any reliance you place on a product is at your own risk, and the responsibility for each product rests with its seller.
Nothing on the Service constitutes professional, legal, financial, or academic advice. Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.
Limitation of Liability
To the maximum extent permitted by applicable law, Selnotes will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service.
To the maximum extent permitted by law, our total liability to you for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the total amount you paid to or through Selnotes in the 12 months before the event giving rise to the claim, or (b) USD $100.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under applicable law.
Indemnification
You agree to indemnify and hold harmless Selnotes Technologies L.L.C. and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or connected with: your use of the Service; Your Content; your breach of these Terms or any applicable law; or your violation of the rights of any third party. We'll let you know about any such claim and may, at our option, take over its defence.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which Selnotes Technologies L.L.C. is incorporated, without regard to its conflict of law rules. Any dispute arising out of or relating to these Terms that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of that jurisdiction.
Before starting any formal legal action, we ask that you reach out through our contact page and give us a genuine opportunity to resolve the issue. Most problems can be sorted out directly and quickly. We aim to respond to all formal complaints within 5 business days.
General Provisions
Entire agreement
These Terms, together with the policies they reference, make up the entire agreement between you and Selnotes regarding your use of the Service, and replace any prior agreements on the same subject.
Severability
If any part of these Terms is found to be unenforceable, that part will be limited or removed to the minimum extent necessary, and the rest will remain in full effect.
No waiver
If we don't enforce a provision of these Terms, that isn't a waiver of our right to do so later. A waiver is only effective if we give it in writing.
Assignment
You may not transfer or assign these Terms or any of your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
Force majeure
We won't be held responsible for any failure or delay in performing our obligations where that failure or delay results from causes beyond our reasonable control.
Changes to These Terms
We may update these Terms from time to time to reflect changes in the law, in the Service, or in how we operate. When we make material changes, we'll notify you — by email if you have an account, and by posting a notice on the platform. The "Last updated" date at the top of this page always reflects the current version.
If you continue to use the Service after an update takes effect, you're accepting the revised Terms. If you don't agree with the changes, you should stop using the Service and, if you wish, close your account.
